The 2024 Annual General Meeting (AGM) of Australian Mutual Bank Ltd (AMBL) will be held at 3:00pm (AEDT) on Wednesday 27 November 2024. The Notice of Meeting can be accessed by clicking on the following link: 2024 AGM Notice of Meeting.
The AGM will be held as a fully virtual meeting with electronic direct voting being made available at the meeting.
Member participation in the AGM is important to the bank and we would like to encourage increased voting numbers and virtual attendance at the AGM on 27 November. To facilitate the virtual AGM Vero Voting has been engaged. Vero Voting will also act as the Returning Officer for the meeting.
Members will have the ability to participate in the AGM in the following ways:
- Vote online both prior to and during the AGM
- Watch the live stream of the AGM from 3pm on 27 November
- Submit questions to the AGM
Members are encouraged to submit votes ahead of the meeting using the online Vero Voting system. Voting for resolutions will conclude when the voting closes at the meeting.

To access the online system you will require your Member Number and your unique PIN code (which will be provided to each member via email or post).
MEMBER VOTING AND ADDITIONAL INFORMATION
Details concerning the resolutions being put to members are set out in the AGM Notice of Meeting and the accompanying explanatory notes.
Item 4 on the agenda is the Appointment of Directors. In accordance with the Constitution no election is required to take place – please refer to the AGM Notice of Meeting for further details.
Item 5 on the agenda is a special resolution to amend the Constitution. The proposed amendment will remove the requirement for a person to have been a member for at least three years to be eligible to be appointed as a Member Elected Director. The bank’s regulator, the Australian Prudential Regulation Authority (APRA), have suggested that this impediment for a member to become a candidate for director should be removed. An equivalent resolution at the 2023 AGM received 70.8% of votes in favour however was defeated as a special resolution must be passed by at least 75% of the votes cast by members.
The total director’s remuneration pool (including superannuation) is the payment amount which can be allocated among the Bank’s six Member Elected Directors. Your directors have determined that no increase to this amount will be sought at the 2024 AGM. As a result, no resolution will be required.
Members without internet access via their phone, mobile device or computer may vote on this resolution using the Proxy form provided with the AGM pack (or available on request by phoning our contact centre staff on 13 61 91). Instructions on proxy voting are included on the form.
